I need to Replace an 03 PDC with another 03 PDC

I recently inherited a network.  There are two Windows 2003 Primary Domain Controllers.  The fismal roles were split between the two.  I also have another server running Exchange 2003.  Neither domain controller works correctly and most of the configurations were done using the persons personal account and they removed the administrative account from almost everything.  Also this person has no idea what they are doing.  So i need to introduce a new domain controller to the network.  The domain name will be the same and the exchange server will not be touched.  How to I introduce a PDC, successfully integrate it to exchange, remove the two old PDC's and not effect the users or the users workstations?  I will have approximetaly 8 hours to perform this task.  My AD tree is rather small as i have less that 40 employees and workstations.
