This question has been dealt with many times in EE. Essentailly with 32bit Windows (or other 32bit OS) some of the address spaced has to bed used to I/O so even though you have 4Gb of ram you are only going to see about 3.5Gb. You need to use a 64bit OS to use more memory than this.

yeah, I was sure that was it. too bad that in Microsoft knowledge base they write it supports 32bit also.
if you edit your boot.ini file and add /PAE to the end it should show full 4GB

eg.
[boot loader]
timeout=30
default=multi(0)disk(0)rdisk(0)partition(1)\WINDOWS
[operating systems]
multi(0)disk(0)rdisk(0)partition(1)\WINDOWS="Microsoft Windows XP Professional" /fastdetect /NoExecute=OptIn /PAE
You also might try turning off the page file if you really want to see that 4GBs of memory in Windows because this is using some of the bus lines to communicate with the physical RAM.

To disable your page file:

Right click on My Computer
Go to Properties
Click the Advanced tab
Click Settings under Performance
Click the Advanced tab here
Click Change under Virtual Memory
and lastly
Select the 'No paging file' radio button
