ok ... long shot try ... i solve the problem ...
The way was to uninstall the Service Pack 1 / 2 that i have and reinstall it as what MS article has offered (although it only mention Service Pack 1 and not 2) ...
The application pool is working perfectly now ...
I will list out what i've done again to help those who needs help / reminder in the future ... and i hope it helps
==== Test Site 1 ====
i took the liberty to re-do the exchange server by reinstalling the entire W2K3 (without service pack) and install Exchange 2003 then i did an update to Service Pack 2 .. the OWA works ...
==== Test Site 2 ====
i did another new installation with W2K3 SP2 (slip streamed) and install Exchange 2003 ... it works as well ....
I will try to find the article where MS adviced to reinstall the Service Pack after Exchange OWA and application pool does not work properly after Service Pack installation

i understand that u know Exchange quite well ... but i did like to ask ... is there a way to reinstate the OWA login screen rather than it prompt you with a popup to login?

Here is what I've done:
before i move the mailboxes ... i've updated the Windows with SP2 and watever it needs to update ... then i installed Exchange ... i've updated Exchange to SP2 as well and did another Microsoft Update ...
i move the mailboxes from 1 to a group of 10 ....
moving of mailboxes return no errors ...
User's MS Outlook automatically homed for the new Exchange ...
I've changed the Offline Address Book to the new server ...
as well as those in the Recipient folder to the new server ...
When i try to access the OWA ... it seemed ok ...
but when i try to delete the mails ... it says "Either the items have been deleted or moved or access denied"
i've not uninstall the old Exchange ...

Is the access denied error for all content or just old content?
Does it apply to all folders?

That is very strange but I am glad to hear you have gotten it working properly.

it will prompt you to login .... but once u enter your credentials .... it will still ask you again .... then it will fail.
i also noticed that the defaultAppPool is stopping every now and then, is there something wrong with it?
