Migrate old SBS 2003 to another SBS 2003 same domain?

Installing a new PC running Server 2003 SBS on network already running SBS 2003.  Need to migrate all domain info to new PC.  Can't get both on the domain together but have them on the same network for a couple of days. How do I migrate one SBS to another?  No Exchange running...simple domain controller file server. Thanks

Since you say there is no Exchange running, then I would ask why you are even bothering migrating?  How many users and computers are there?  
If only a few... use option 2.
