TCP/IP.sys constatly gets corrupted

Windows XP pro, intelpro 100 NIC (Dell PC). As read in previous questions tcp/ip.sys file becomes corrupt. removed TCP/IP and reinstalled -- no help
Swapped NIC (3COM) no help.
after every reboot I have to replace the tcp/ip.sys file in the %root%\system32/drivers folder (upon 1st reboot it works) then after 2nd tcp/ip becomes corrupt again.
Suggestion before I format this box?????

this is definitely a virus. its a trojan, i forgot the name of it. i fixed a pc last week by pulling the drive and scanning it with avg on another machine

Used AVG and found 2 trojans one being BHO.DAB
