GigaByte's GA-X38-DS4 will work fine with the PCI Express version of the PRO/1000 PT.   You need an available PCIe x4 slot for the Intel board ... the GA-X38-DS4 has two PCIe x16 slots, so you can use one of those.

You can't buy from Newegg, but their site has a good description of the board that might be useful:

... Note:  I presume you're looking for EITHER #1 or #2 ==>  if you need both, you'll have to use a server board to get a PCI-X slot; and a Xeon CPU instead of the desktop Core 2's.   This GigaByte board will support both of the Intel boards you listed (it has both a PCIe x4 slot and a PCI-X slot available in addition to the video card slot):  http://www.newegg.com/Product/Product.aspx?Item=N82E16813128019

I prefer #1 Request.
Because PCI-Express(PT Network Adapter) faster than PCI-X(GT Network Adapter).

Does first  motherboard support RAID 5 with 3 HDD?
can we use its second PCI express Slot for Intel PRO/1000 PT Quad Port Server Adapter(PCI Express) ?

Yes, the first motherboard [http://www.newegg.com/Product/Product.aspx?Item=N82E16813128080 ] supports RAID 5 with up to 6 disks.   And the PCI-Express adapter should work fine in the 2nd PCIe x16 slot.

Note that any PCIe board will work in slots with MORE lanes than it requires -- just not with fewer.
i.e. a PCIe x8 board will work in a PCIe x8 or x16 slot ... but not an x1 or x4.   The board you want to use is a PCEe x4 board, so it needs either an x4, an x8, or an x16 slot to work.

I want to use this computer as Firewall (ISA Server 2004) with 300 on-line Users.
Did Below system support this traffic?
Giga GA-X38-DQ6
Interl Pro/1000 Qaud PT
Core" 2 Quad Q6700(G0,Kentsfield,65nm,2.66GHz,8MB)
RAM 2GB
HDD:SATAII 3Gb/S

I would think so ... the Q6700 should have no problem with that.  You might want to install 4GB of memory (but with a desktop board use 2 2GB modules -- not 4 modules).
