0 - Full backup before any action (survival guide ;-)
1 - be sur that no one mailbox are stored on this server
2 -  be sur to have replicated any public folder stored on this server to the others Exchange servers.
3 - transfert the recipients update roles if owned on this server and do the same for the routing master role
3.1 - Check the replication of the offline address boo, and free /busy system public folders
4 - use the exchange 2000 installation CD to uninstall the exchange server

Be sur to check your topology before doing anything ( mail routing, ocal bridghead, etc)
