Admin can't rename file?

I'm trying to rename C:\Windows\mscoree.dll to mscoree.dll.old, following these steps: http://support.microsoft.com/kb/312383.    I can't this popup:

My user is an Administrator.   I'm running Vista Ultimate.  Why don't I have permission?

I'm trying to install VS.NET 2008 Pro final.   I get an error that it couldn't install .NET Framework v3.5.  Some of the details are:

If you have to rename that "mscoree.dll", I assume it is impeding VS.NET 2008 from being installed and will no longer be necessary, so you could try and take ownership of that DLL and rename it afterwards.

In user management disable "User Access Control", then reboot, and after that you should be able to rename the file.

Can you provide the steps on what you mean by taking ownership (click here then click there....)?

UAC is already disabled.

Thanks.  That didn't help but I didn't try safe mode.   I'll need to contact MS support to resolve this since I doubt renaming a .NET 2.0 file is going to fix this.   There's probably a number of other cleaning activities that must be done first.  

Do you know how to get the Take Ownership option onto the context menu?

I ran the reg file but didn't see any additions to the context menu.   There's another reg file available from a different site I may try.
