I will go for the 1st one with more processing power.
The 2nd option has more disk space and could be faster disks.

which is best for sql DB , theres now load but very slow when order?
I will go with the 1st choice
I would say it depends on exact usage.  If you use static web pages or run a database off another server, than I would go with the first one.  If you run a dynamic web site with database driven web pages and those web pages are on the same server as the database, then I'd go with the faster drives.  It's a lot easier to upgrade CPU than it is to upgrade hard drives.

the web server and DB in same server , so that you recommend the second choose ?
leew:

modern databases will cache data in ram (the most wanted) and this will make it faster to serve. I have mentioned this in my previous comment. Faster disks will help as well.

can i go for second choose!!!!!!!
Well, it is your choice after all :)

If the disk space and speed are the important factors for you, then yes.

all of this to improve db speed and web server speed
Ok, but the CPU speed is a factor as well.
That's true... but we don't know what databases they are using or what transactions will be used.  Or for that matter what OS they will be using (64 bit vs. 32 bit).
Well, by saying you want to "improve ... speed" suggests that you have systems currently in place... so... have you determined what your bottleneck is or are you just trying to guess which will help you most?

If it turns out that your current CPU isn't pegged then it would be foolish to try to improve that.... you would get little if any benefit.  Before you go throwing money at something, do some analysis on your systems to determine what the cause of your performance issues are...

the system running under Linux CentOS 32bit, 95% of DB for forums, and some websites scripts

also the server running ander cPanel
www.cpanel.net
That's fine... what KIND of database?  MySQL, Oracle, something else?  A true modern system or a file-based system... but really, the important information is not what you expect to run... it's how it's performing now with the hardware your using.  It's foolish, truly foolish in my opinion, to throw money at a solution when you don't even know what problems you have right now.  Determine your bottlenecks NOW and buy a system that best addresses those bottlenecks... and don't narrow it down to one config or another... I don't know why you're asking the question you are, but I guess I don't understand why your so eager to throw money away on narrow options.  Most vendors will build a relative custom system for you.

Mysql DB , im rented this server in SoftLayer DataCenter ,
ok... you still haven't answered the key question - what are your bottlenecks NOW.

the bottlenecks in DB take high load
but is it a load on the CPU or Disk?  Why is this a hard question?

both
