Witness server install on a exchange server??

I'm configuring a SQL 2005 mirroring enviroment. I want to config auto failover, so I have to create a witness server. I want to install the witness server on an existing exchange server in our environment, because we don't have a third server for the witness ;).
Can I expect some troubles when the exchange and sql are on the same server? Like performance troubles, or conficts..?? I don't know if the witness server eats a lot of sources?

It's a win2k3 standard with a Xeonn 3ghz and 2 gigs of RAM..

I thought so :(

First I want to setup this config on 2 servers. With the witness on the mirroring. I created a second instance on the mirror server for the witness. But it seems I cannot change the listening port when I config the mirroring... :(
