Need to validate windows after using vmware converter

I am using the vmconverter and after taking an image of one of my servers, and attempting to launch the image inthe vmserver I am getting prompted that windows needs to be validated....I have suspect a few reasons why this is happening, but just wondering if anyone know if VMconverter can take images without having to go through validation.

Because Windows sees new (virtual) hardware, it will want you to reactivate Windows because this is how Microsoft licensing works.

The only way I know this can be avoided for sure is by using volume license keys.
