The WAIK (Windows Automated Installation Kit) is a huge download at 1.3GB, but it's designed for full OS deployment. However everything you need is in there.
If you install the WAIK and open up the help chm and look for "Walkthrough: Create a Bootable Windows PE RAM Disk on UFD". That'll give you what you want. Don't be too put off by the size of it (1.3GB), you're probably not going to use most of it for what you need. But it's a tried and tested method.

Open up the Windows Automated Installation Kit User's Guide and look for the "Walkthrough: Create a Bootable Windows PE RAM Disk on UFD" section. It's all detailed there how to do it step by step.

In theory once you have a booting USB, then you can overlay your CD contents into the right place.
In the free Microsoft WAIK, there is a walkthrough of this also, which boots into WinPE, to give you a 32 bit environment.
