Replacing Windows 2003

Hello,

I will be replacing one of our servers that is running Server 2003 Enterprise with a new one this week, and need some info regarding steps that need to be taken to ensure it is seen the same as the old one. I.E: same server name and IP.

The old server is not a PDC or anything special, so will it be possible just to rename the old server, and name the new server the old name and copy the files from the old to the new?

How can I ensure that the new server retains the same IP address as the old one?

First question - Yes.   Rename server prior to bring the new one into the domain.   Make sure changes replicate and such prior to bringing in the new server that will have the old servers name.  
Second question - Change the IP address on the old server to something different than what it is currently assigned.   Once that is done assign that IP address to the new server.
