Can't install Framework 3 on SBS 2003!!!!!

I'm trying to install Framework 3.x on windows server 2003 SBS SP2 which already has framework 2.0 sp1 and it fails with setup.exe unkown software error
In the event log I see:

I have tried to install via Microsoft Updates and just a redistributable
I also tried framework 3.5 / 3.0 SP1 etc. but all fails with same error

Just found these log files in Temp folder after running Framework setup
