When i try and run the prep commands it fails on /preparead and the major error is

    Organization Preparation         ......................... FAILED
Active Directory operation failed on server001.domain.ca. The object '
CN=All Groups,CN=All Address Lists,CN=Address Lists Container,CN=First Organizat
ion,CN=Microsoft Exchange,CN=Services,CN=Configuration,DC=domain,DC=CA' alr
eady exists.

I have already read thru this article http://support.microsoft.com/kb/936907 and no luck, i have set those variables but it solved nothing.

E:\Exchange07>setup /dc:server001 /preparead

Can you check the purportedsearch attribute of "All Groups" in adsiedit

By default it is :(& (mailnickname=*) (| (objectCategory=group) ))

I think yours may show up differently.

I had changed it to this

(& (mailnickname=*) (| (objectCategory=group) ))

it was this before

(&(&(& (mailnickname=*) (| (objectCategory=group) ))))

either dont work.

After i made the change should i have stopped and started exchange?  Also there is two exchange 2000 servers.

Make sure it matches the defaults including the Spaces b/w the Ampersand.

Also is it still happening for All Groupss or something else such as "All Contacts" or "All Users"?

well...you shouldnt be running preparead with the Orgname switch since your Org already exists.

Are you running e2K7 SP1 setup?
Do you have any Windows 2000 DC in your forest?
