how do i change a win2003 fileserver to a second server same network

we have a dell poweredge 2850 running win2003 server, and another server running win2003 setup as a file server, i would like to reconfigure the file server as a full backup to poweredge.

What's the role of the poweredge server?

poweredge provides all server funcitions except file storage. dns and dhcp, act directory, it  provides all comuters with access to each other and the internet. fileserver only handles files for all computers over the network. 33 computers

The easiest option is to make the fileserver a domain controller and dns server.
This way you will have redundancy if the poweredge fails.

we have made the fileserver a domain controller, however it will not give out ip address's when poweredge (main server) is down.
