Hello H_Harry
thanks for the link, i will go through it.
i wonder if you know about semantic backup service on the server? i have noticed that there is another  nightly backup job defined on it. however, if i want to add a new backup job, its not picking any resources i mean i cannot able to browse the folder list..

please can you advise?
does it work ok after a restart?

ive had inumerable problems with vss failing with this and reregistering the vss service is a generally very good fix.  so much so i have the reregistration as part of my own backup script along with a vss stop and start of the services. doing this befor a backup has proven a great help in reducing the vss errors i was receiving on multiple sbs servers.

also check if the error happens only when you include the system state in the backup as this indicates a different solution is required.

hello scriptaholic,

thanks for your comment,
no i did not restarted the server, all i am trying to do is set a backup job. i am also unable to do a manual backup. i dont understand what you mean by vss service registration? please advise.
vss has a nasty habit of falling over and re registering the dlls fixes it. the only symptom is that it cant obtain a volume shadow copy and the backup falls over instantly.

the following will re register the vss services and associated files.

cd %systemroot%\System32
Net stop vss /y
Net stop swprv /y
regsvr32 ole32.dll /s
regsvr32 vss_ps.dll  /s
Vssvc /Register
regsvr32 /i swprv.dll  /s
regsvr32 /i eventcls.dll  /s
regsvr32 es.dll  /s
regsvr32 stdprov.dll  /s
regsvr32 vssui.dll  /s
regsvr32 msxml.dll  /s
regsvr32 msxml3.dll  /s
regsvr32 msxml4.dll /s

hi again,
thanks for your suggestion, the vss and swprv services were not started earlier so i have used
net start vss /y command to start the service and then followed the rest of your suggested steps, however the problem remains the same , i am still getting the same error message .....
please advise
Try this

Right click on the drive, properties and choose shadow copy tab
Enable the drive and then try doing a backup.

All the best
