Well forwarding all incoming emails shouldn't be too hard, what you need to do is:

Step 1: Set up the accounts on the xyz.com domain with aliases that also include the email addresses for xxx.com. Make sure you enable the mail server to accept multiple domains (see http://technet.microsoft.com/en-us/kb/kb00268838.aspx for details

Step 2: Change the DNS MX settings for domain xxx.com so that the MXs are pointing to the new server (this usually takes however long your Time-To-Live is set, usually around 6 hours). Check with your DNS administrator.

This will deliver any new email destined for domain xxx.com to the new email server.

Transferring the old email from the accounts on the old email server is a bit trickier. You could tell all your users to just download all their email to a local PST file and then move it on the new Exchange mail server (this is the easiest way).
The other possibility is using the Microsoft Exchange Migration or exmerge http://www.msexchange.org/tutorials/Exchange-Migration-Wizard.html

I believe so.

Add and verify a domain alias to the Google Apps Domain Settings.

Add an email alias in the other domain to every user.

Don't forget about DNS MX settings (Google apps should have the instructions).

Transferring old emails is a bit more difficult. You will have to transfer the emails for each user from their email client to the google mail using IMAP.

Why move email from gmail to exchange if you intend to format the exchange server?

1. adding new email addresses to Active Directory users can be done via Active Directory Users & Computers interface ... just edit the user and add SMTP email addresses using the E-mail Addresses tab

2. auto reply message can be done by using Rules & Alerts in a specific user's Outlook. You cannot do that for all of the users in one place.

Hope this helps
