I setup several Windows 2003 32 bit R2 domain servers with DFS Replication with no problems and now I need to setup a client with DFS replication with two Windows 2003 64 bit R2 servers. My question is can one dfs server be a Domain server and the second a member server?

I don't see why not as long as your domain server can physically handle it.
It preferable that you dedicate a drive on the Domain server to do DFS since it can slowdown the server.
