Migrating Windows Server 2003 to another Windows Server 2003 with Exchange

Currently have a Windows Server 2003 with Exchange, DC, and TS running. I have a Windows Server 2000 that I would like upgrade to 2003 and will be doing so shortly. My question is, I would like the "new" server 2003 to serve as "backup" for the current 2003 Server in place. Is there a simple way of migrating all files and settings from the old server to the new server? Is there a software that I can purchase that would allow me to make  a copy of the current server 2003 and upload the exact configuration to the new server?

If you want it to mirror then you are looking at something like DoubleTake or Neverfail. They will keep everything in sync for you. There is no native way to keep Exchange 2003 for example, in sync on another server, without going down the clustering route (very expensive).

I would need to migrate the actual Exchange server on its own? Also, are these programs you listed expensive? Sounds like the way to go.
