VMware WSUS server setup

I'm trying to setup a VMware virtual server for WSUS, there is a free appliance for 2003 that not ask for license activation?, also I try to PS2 with vmware converter to get the image from one of my server and ask to activate the OS. what is the work around if I just need it for updates o for testing

No workarounds, as they would be illegal.
If you want to have another instance of W2k3 running, you'll need a license for it.
If you only want it for testing, download a 180-day-eval copy from Microsoft.
Another option for testing would be to buy a TechNet subscription (http://technet.microsoft.com/en-us/subscriptions/default.aspx)
But there is definitely no "free appliance for 2003 that not ask for license activation".
