What is the proper way to copy files from a file server to a replacement server?

I have prepared a new server to replace an older file server. What is the proper way to copy all the files from the old server to the new server, maintaining all the assigned domain permissions and shares? I do not want to restore from backup tapes, just copy from one server to another over the network. I am running a native Windows 2003 domain. The old server ran Windows Server 2003 32bit and the new server runs Windows Server 2003 R2 64bit.
