Removing Server 2003 from the Domain

I added a new server in 2005 without removing the existing sever first as result when i attemped to remove the Old server I discovered i could not add new work st or have access to shared drives on the Domain.My plan is is to move the old server to a remote location as a backup.It appears that old sever is the Domain controller.So how do i remove this server and make the new server the domain controller.The old server has no resources that i use.
