What are the main differences between Forefornt and ISA 2006?
We are looking at Tower model Server, on this server we will dedicate to Forefront product only and any idea about IBM Server products?

FTMG 2010 is effectively ISA 2010 but with a number of uplifts. For example, FTMG is 64-bit as you have mentioned but you also can no longer install FTMG on a domain controller. It says that it passes all the pre-requisite checks but will fail when FTMG tries to create the services.
FTMG comes with a number of services that were not present in ISA. Built in anti malware, anti virus etc (although this is still a subscription service). in addition, FTMG has the ability to integrate with Exchange edge services so you can apply mail policies directly at the FTMG level.
Content filtering is now much more intuitive as well. Categories are alredy defined and a web blocking policy is set up by default.
The actual GUI is completely different and can take a bit of getting used to. Again, it is more intuitive but if you are used to ISA2004/2006 then it takes a moment or two.

In what way will we get benefitted by upgrading from ISA 2006 to Forefront TMG?
No idea, I have no clue who you are or what you do. It is your company - you do the reading and work it out by common sense. Only YOU know what the benefits might be to your company, sorry :)

Previously we needed two separate boxes EMS and Firewall when moving from Single ISA 200x EE. Now if you want to move from Single ISA 2006 EE to Single TMG EE (standalone) it is possible.....
So you save $$ to buy additional HW. Plus, you have more up to date and powerful firewall protection. Also, TMG is compatible with the new Windows 2008 vs 2003 on ISA 2006. MS will discontinue to support 2003 in 2012.

For the second question, I need to know what is your budget and requirement. Overall, HP DL380 and Dell Power Edge 2950 are the best and affordable configuration. HP is a bit more expensive compares to Dell. HP offers free ILO remote management to power the server remotely; Dell put DRAC (same as ILO) as an option. If you are leaning toward cost/budget, you take Dell over HP. For a bit better quality and support, you can choose HP.
