It does migrate the groups, what you should start with is the ADMT white paper

If you want to migrate Group Policies you will have to use the Group Policy Management Console to backup your policies and then restore them to your new domain.

ADMT does support migrationg group membership - see http://technet.microsoft.com/en-us/library/cc756073(WS.10).aspx
You can use the grouo policy managment console to export/import policies
http://www.microsoft.com/windowsserver2003/gpmc/migrgpo.mspx
or the GP Migration tool from NT  http://support.microsoft.com/kb/317367
