Photoshop CS3 Crash on Win 7 x64

I have 2 new Win 7 x64 machines

HP Pavilion Elite e9300z
AMD Phenom(TM) X4 925 quad-core processor [2.8GHz, 2MB L2 + 6MB L3 shared, up to 4000MHz]
640GB 7200 rpm SATA 3Gb/s hard drive
1GB ATI Radeon HD 4850 [2 DVI, HDMI and VGA adapters]
Install of Photoshop CS3  runs without error, when I go to run the app the Photoshop window appears
but it is a gray box and hangs there indefinitely on both machines and with different install disks. I have 2 other newer HP machines running Photoshop CS3 on win 7 x 64 without any issues at all ---see specs below

• Genuine Windows 7 Professional 64-bit
• Intel(R) Core(TM) 2 Quad processor Q8300 [2.5GHz, 4MB L2, 1333MHz FSB]
6GB DDR3-1066MHz SDRAM [3 DIMMs] from 4GB
