You can replace the image /_layouts/images/edititem.gif with your own version
(file location: C:\Program Files\Common Files\Microsoft Shared\Web Server Extensions\12\TEMPLATE\IMAGES)

This should be done on (each of) the webserver(s) where SharePoint is installed.
Don't use SharePoint designer for this. Just use the file explorer and replace the image which your version.
1. Rename original edititem.gif to e.g. edititem.gif.old
2. Copy your image file (should be a gif!) to the location I mentioned earlier
3. Rename your gif-file to edititem.gif
It should be done.

Another thing you can do, is to create your own version of a allitems.aspx with your own icon. You can use SharePoint Designer to change the default pages for lists.
In this case, you can deside where you want to use your version of this layout.
