Yes, i was planning to add the 2010 server, then add a new dc and transition away form the server.

The server i am installing exchange on is not a DC or global cataloge holder, is this a problem? What is the issue with transitioning to exchange 2010 from sbs 2003?

yes. i added the server to the domain, as usual.
The exchange install has installed all components, apart from the mailbox role.
