You may have to manually install the agent rather than pushing it from the Backup Exec UI - I had this problem after updating to BE 2010.

I have installed BE2010 on windows 2008 and install the agent on different servers win 2008 with no problem,

But when I try to install the agent on exchange 2010  i receive the following error
