I've tried re-registering the VSS DLL components doing the following commands:
Net stop vss
Net stop swprv

regsvr32 ole32.dll
regsvr32 vss_ps.dll
vssvc /Register
regsvr32 /i swprv.dll
regsvr32 /i eventcls.dll
regsvr32 es.dll
regsvr32 stdprov.dll
regsvr32 vssui.dll
regsvr32 msxml.dll
regsvr32 msxml3.dll
regsvr32 msxml4.dll

Net Start vss
Net Start swprv
The failure is unchanged after this.
A lil help here?
Thanks a lot.

We have put together a guide to help with VSS problems:

http://backupchain.com/Volume-shadow-copy-service-error-troubleshooting.html

You may want to go through it step by step to eliminate the problem.
I hope this info helps!

Looks like re-registering ALL the components did the job.  Must of missed a line when I copied the batch commands before.
Points go to hypercat.
