Dear dariusg, i hear you - but please understand:
We're in the middle of a LIVE migration from SBS 2003 to Exch 2010, and after the POC was successful, all of a sudden the exchange refuse to install himself with all sorts of errors from the DC.
In the meantime (after posting this question), we've installed a new (3rd) DC (win 2008 std x64), but the SBS sees the new DC as an invalid partner.
Your advice will be more than welcome here.

Again check the time and date make sure they are all sync.
Seems like Windows 2008 Server is causing all the problems. You might need to reinstall the domain services
