Hi! You must check which .NET framework version is configured for the webs you migrated.
I've been migrating also a few dozens from w2k to w2k3, and usually the issue was a misconfiguration. If this don't help, then you might have references in your website project to custom dlls.

whats the best way to check the web to see what is configured for. also i have 1.1 installed and it does not appear in the asp tab in properties.

Check the properties on IIS on the old and new server, and make a tab-by-tab comparison. I'm sure you'll find some differences. In my case sometimes the application pool was different, or the security on the folder wasn't configured for the right user, etc.

Perhaps you can dump the disk data into a VM like VirtualBox?
I'm sure there's a way to dig all that data from the w2k files, but probably that would be more difficult than creating a VM and starting it.
You can check this if you want to dig that up http://www.techrepublic.com/article/back-up-the-iis-metabase-in-windows-2000/5616198

Sure, copy the files, set the web in IIS with the same details. If it has nothing "peculiar", it should work.

do you mean copy the inetpub dir?

t-maxCommented:
Depends on where are your sites located. I had a lot in different folders, so I just copied one to the new server, built the website on IIS, and checked how it worked.
Sometimes you receive errors that you need to polish out, but at the end things usually work OK.
If in your case everything is stored in inetpub, copy the contents of it in the new server's inetpub (or whatever default you choose) and try accessing http://servername to see how works. Hope this helps.
