SBS 2000 Migration

I need some guidance in my Windows SBS 2000 to Windows 2008 w/ Exchange 2010 migration. With this migration I will be moving away from the SBS suite. Here is what I plan on doing to get me to where I want to be.
1.Install a Windows 2003 Server, SWING-SRV1, in the Domain and make it a DC
2.Forest and Domain Prep. Install Exchange 2003 onto SWING-SRV1 into the existing ORG. (my first instinct is to do an inplace upgrade of Exchange 2000, but im not sure how SBS will take it)
3.Migrate mailboxes from SBS-SRV1 to SWING-SRV1.
4.Transfer all FSMO roles to SWING-SRV1, somehow get SBS-SRV1 to release the PDC Emulator role and remove it from the Exchange ORG.

At this point I hope to have a Windows 2003 Native Domain with an Exchange 2003 Native ORG
From here I can migrate to Windows 2008 Domain and Exchange 2010 with hopefully little hassle, its getting into 2003 that worries me.

Looking for a better way, gotchas, or clarification on how to get away from SBS 2000.
