"The solutions and answers provided on Experts Exchange have been extremely helpful to me over the last few years. I wear a lot of hats - Developer, Database Administrator, Help Desk, etc., so I know a lot of things but not a lot about one thing. Experts Exchange gives me answers from people who do know a lot about one thing, in a easy to use platform." -Todd S.

The licensing service must be installed on a server of the same version of later then your terminal / remote desktop service server. It's documented at the bottom of this article: http://technet.microsoft.com/en-us/library/cc770371(WS.10).aspx. Therefore a 2008 licensing server will work with 2003 but not vice-versa.

You need to add a TS/RDS licensing server. This is a role that can be added on the SBS 2003 under add/remove programs | windows components  or on the 2008 TS under Server Manager | add roles. Both work fine. Once enabled you then activate the server as the licensing server and then add your CAL's. Best practices in a large network suggests that you do not install the licensing service on a terminal server, but in a single TS environment there is little advantage in not doing so and it may be advantageous to install on the newer server, the 2008.
