Consider TrueCrypt http://en.wikipedia.org/wiki/TrueCrypt

Other applications exist which do the same but TrueCrypt is probably the most well known.

i hav used TrueCrypt, its great but what if i do not hav my pc or laptop with me then how it will work?

i hav to install this software on ech machine where i hav to connect my device

my purpose is that where ever i use my usb stick , it should not be opened with out password.

it let user give power to FORMAT The flash stick, which can accidently reach to deletion of data

Then best to buy a hard disk and flash stick with encryption built in.

For hard disks contact the various disk manufacturers.
