this doesn't make any sense.  SBS is desgined to be a certain product - and one of them is a domain controller that holds that a series of important roles.  Exchange is also part of that.  Why remove Exchange?  Just don't use it.  Open Outlook and point it somewhere else.  Instead of turning SBS 2008 into Windows Server 2008, you can have just bought Windows Server 2008 - it would have been cheaper anyway (plus future licenses will be cheaper).

SBS MUST be the FSMO master DC in your domain and for stability, it MUST run exchange.  There is no option here.  You don't have to use exchange (but then you are paying much more than you have to).  It is a license violation to run SBS without the DC functionality and it will start shutting itself down after a grace period (as I said, NO OPTION in this).
