best advise is from the mysql web site http://dev.mysql.com/doc/refman/5.1/en/upgrading.html

if you just have myisam tables, they can be copied (as files) fairly easily. innodb takes a bit more work.

one simple walkthrough is this

1. backup
2. use mysqldump to convert your whole db into sql statements (including all accounts and permissions)
3. stop the old server and completely uninstall it
4. install the new server and start it running
5. feed it the giant sql file you made

- i would suggest you to follow the mysql documented manuals which is to upgrade from 4.1 to 5.0 first, then from 5.0 to 5.1 (latest):

http://dev.mysql.com/doc/refman/5.0/en/upgrading-from-previous-series.html
http://dev.mysql.com/doc/refman/5.1/en/upgrading-from-previous-series.html

- mysql also have prepared sets of checklist prior to the upgrade on windows. do read the comments section too as there are valuable tips:

http://dev.mysql.com/doc/refman/5.1/en/windows-upgrading.html

- does upgrade it directly from 4.1 to 5. works for you?
