Active Directory(DC) is the back bone for Exchange. Exchange will not even get installed.

No it will not work, if you do not have a domain and wish to use exchange you can have it hosted for you though.

what do you mean?

Exchange will work installed on a Member Server, it doesn't have to be a domain controller, there must however be a domain controller somewhere in your network for Exchange to work.

Meant to write "no it will not work, if you do not have a domain controller and wish to use exchange you can have it hosted for you though"

The entire Exchange configuration is saved under Configuration Partition of Active Directory. So a domain controller is a must before you can install Exchange server.
