MS SQL Server 2005 install failed

Trying to install a new SQL Server 2005 Instance and it is failing.

The only real error I can find in the install log is

Installation success or error status: 1603

I may have an update waiting on a reboot on one of the other instances (SP3 CU4) .. but I wouldn't think that would make a difference..

I've attached the log..  can anyone help me sort this out?  SQLSetup0005-KOCSQLDEV02-SQL.log
