We have old IBM  server handling domain windows server 2003 SP2 AD – DHCP – DNS  and exchange server 2003 SP2,  about 50 users now We bought two servers, one for exchange   and other for domain Controller AD  we plan to do fresh installation for  Domain  window server 2008 and exchange server 2010 we do not want make transition from old serve to new we can recreate all users in new windows 2008 server  AD   in other words we want setup  company from zero only want keep our data and mails

How can we move users mailboxes  and profiles to new two server Exchange and AD
what are best steps we must take before proceed

You could use EXMERGE to export the mailboxes, or use Outlook to save the mailboxes as PST files and import them on the new domain.

User profiles can be copied across probably without any hassle once you have created the user accounts.

dose EXNERGE work between 32bit and 64 bit and with big size PST
EXMERGE will work on both 32 and 64-Bit, and with big PSTs yes...

Sorry to say, but exmerge only works on 32 bit os and it also only supported mailboxes to 2gb if a mailbox is bigger it just stops and you have a corrupted pst file.
You can use filter option with exmerge for exporting big mailboxes like time ranges, otherwise outlook 2003 or higher is a better option to export big mailboxes.

For importing you can create a 32 bit management workstation to use exmerge, but exchange 2010 has a management shell solution for importing pst files. here http://technet.microsoft.com/en-us/library/ee633455.aspxis some information about the new commands.
Ofcourse you can always use outlook to import pst files if you like
