I am working from a set of files copied from someone else's machine that are under TFS control.  When I open the project VS2010 warns me of that but offers me the option to work "uncontrolled".

What could be the cause of "Access is denied"?

Could not load file or assembly 'Sybase.Data.AseClient' or one of its dependencies. Access is denied.
