Hi,

You can setup your new Windows 2008 as DC to current existing domain (that consist Windows 2003). After that just transfer FSMO roles to Windows 2008, then you can decommission Windows 2003 from Forest to allow forest to for Windows 2008 opearation level, which offer a lot more benefit.

This article, should re-explain all possibility to do, by my suggestion go for Transition unless you want to build everything back, http://social.technet.microsoft.com/forums/en-US/winserverMigration/thread/dab33e51-25f4-476c-b173-7e65ee253373/

In-place upgrading might jeopardize your AD environments, so try to avoid it.

Make sure Windows 2008 AD have DNS installed, and make it as primary DNS.
