In-Place Upgrade to Windows 2008 R2 from Windows 2000 Server

Hi,

 I have Windows 2000 Server installed on VMWare.
 In Windows 2000 Server OS, we are running SQL Server 2000.
 We need to upgrade Windows OS to Version 2008 or 2008 R2.
 I know that I can erase existing 2000 OS and load 2008 OS from the scratch, but it will take a long time to backup sql server database and other software ... etc and restore everything once W2008 is installed.
 So my question is if it is possible to do in-place upgrade to W2008 or W2008 R2 from W2000 and if the answer is Yes, then what are the ramifications of doing so particularly with respect to exising programs such as SQL Server ... etc.
