Install the exchange server 2010 freshly with the Same AD domain
Once the new database created, you can import the datas to Exchange 2010
ASKER
Where are the 2003 databases located by default??

Try to repair the windows 2003 OS and try to boot to OS and make the exch running
if that does not work try the solution above.

Have you already installed Exchange 2010, because then most of the settings would be imported from AD. As for mail accounts etc. you would need to have your Exchange 2003 server running to do this.
