There are no differences between 32 and 64 bit, so it depends on your Windows Server system.

Windows Server 2008 Standard max memory is 4 GB.

Windows Server 2008 Standard max memory is 32 GB in 64 bits
There are differences between 32 and 64 bit

As I wrote. It's difference in Windows Server 2008 max memory limit not SQL Server.

SQL Server limits are here: http://msdn.microsoft.com/en-us/library/ms143685(v=SQL.100).aspx and there are no differences between 32 and 64 bit.
