Sometimes you need to run some sequential updates prior to activating.
Also, has the license key been used before?
Sometimes there is a license agreement, for number of active users/installations, be worth suggesting that you check with whoever holds the license key and software agreement prior to contacting Microsoft, to avoid any issues.
I work with a small support firm who has someone who keeps a log of active software, sometimes you can hit the limit inadvertantly (ie. hardware change or rebuild - if a machine goes down then is replaced by different hardware).
