I have seen documentation that states there is no way to turn of this message with the Office compatibility pack when opening an XLSX (presuming in this case based on information given) with Office 2003 (also presuming).  Sometimes this dialog is a problem with VBA coding.  Some people put a sleep function call to allow time for the user to clear before the scripting continues.  The best solution is to migrate to the new version of office or change the file back to an older file version.

I don't have a pre-2007 Excel available to test this, but have you tried
Application.DisplayAlerts = False

Open in new window

before your open call, and setting it back to True afterwards.  If that still does no turn it off then you're back to what Aeriden suggested.

Actually I just realised I can test it using Excel 2002 - my suggestion does suppress the warning message, so there's no interruption to the user, but the file still opens in Read-only mode, and I can't see a way to prevent that.  If you need to make updates to it, you'll have to use SaveAs to create a new file, which will have lost the overlapping conditional formatting that is the thing you are being warned about.
