How do I fix this error in 2008 server R2 ?

Hello guys.  I have a big issue trying to get service pack 1 to install on a server I have here.
I have the offline sp1 update windows6.1-KB976932-X64.exe but it fails.  i've run the update readiness tool and it looks fine.  I get the error though below when I try to install the sp1 update:

this is in system in event viewer:

ok, i ran the fix-it deal.  i can't reboot the server right now but i will around 4:30 pm central after work.  I can't take the system offline unfortunately due to running 7 virtual machines that are accessed all day.

dstewartjr, that fix doesn't apply to server 2008 r2 64 bit.
Yup.  I even did the inplace upgrade and that didn't even fix it.  It's crazy.  Upgrade advisor even says things are ok.  Craziest thing I've seen in a long time.  
well guys, by some act of God I got SP1 installed.  The bad news is that I've no clue as to how.  i ran a couple fixes and rebooted and then downloaded AGAIN from microsoft the SP1 x64 r2 file and i had no hope that it would take but it did.  I've no answer at all for why it went successfully but it did.  I appreciate the assistance and recommendations and wish I could explain to everyone a procedure that worked but at this point i'm just excited and happy that it's working.  Now i'm on to clustering and high availability.  Thanks again guys!

hey guys, i awarded everyone some points but just wanted to make it clear that none of these solutions really applied in my situation here and I still don't have a real reason to provide for why the SP finally installed.
