Just force a power off and repeatbthe shutdown and see if you get the same issue.

Did you install Guest Additions

no but i did not get chance to install guest addition
I followed these steps
1. create a virtual machine with xp OS and vdi type with fixed harddisk size 80 Gig and RAM 2 gig
2. Then when i did right click and start on that machine, it asked to boot from cd and I installed XP during that.
3. I Followed the steps , XP was installed it rebooted twice to do complete install, after the second boot it just stays there saying shutting down..
what happens if you power off and restart the VM.

make sure you install Guest Additions, and then treat the VM, just like you would a normal physical PC.

how do i install Guest Additions? Thanks
see here for details

http://www.virtualbox.org/manual/ch04.html

In the "Devices" menu in the virtual machine's menu bar, VirtualBox has a handy menu item named "Install guest additions", which mounts the Guest Additions ISO file inside your virtual machine. A Windows guest should then automatically start the Guest Additions installer, which installs the Guest Additions into your Windows guest.

thanks i was able to install guest additions

now i have to install symantec antivirus on it. I have the setup.exe in my host machine. I was able to connect to my host machine, using network->connect to office network from control panel. So I can access folders in my hostmachine in the virtual machine so if i do \\myhostmachine\ it shows shared folders.... is that a proper way of installing in the virtual machine? Thanks...
Yes, there are many ways, but that is one method.
