Stop the BITS service
Stop the Windows Update service
rename the C:\Windows\SoftwareDistribution folder to SoftwareDistribution.old
rename the C:\WIndows\WIndowsupdate.log file to Windowsupdate.log.old
Start the Windows update service
Start the BITS service

Try again.

Does reinstalling the "Windows Installer" fix it for you?

the link from dstewartjr though I guess I wasn't able to run - I selected the winodws6.0_KB942288-V2-x86.msu file since I'm running Vista Home Premium 32 and it said it was not a valid application.

PROBLEM SOLVED!!  Updated my antivirus program which is Iolo's System Mechanic Professional.  Found info online after much research and pointed me in the direction of Iolo and ran the free software update and that solved my problem.  Windows updates are now running beautifully!  thanks for all the input.
